7. Dispute Resolution & Governing Law
Prior to initiating formal legal action, you and HVAC Distributing, LLC agree to make a good-faith attempt to resolve any dispute or controversy informally.
7.1 Notice of Dispute
Before commencing any arbitration or court proceeding, the party asserting a dispute must first send the other party a written Notice of Dispute describing the nature and basis of the claim and the relief sought. Notices to HVAC Distributing, LLC must be sent to [email protected]. The parties shall attempt in good faith to resolve the dispute within sixty (60) days of the Notice of Dispute before initiating arbitration or litigation.
- Governing Law: These Terms and any disputes arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without giving effect to conflict-of-law principles.
- Jurisdiction: Any legal suit, action, or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in the Commonwealth of Kentucky, and you consent to the personal jurisdiction of such courts.
7.2 Binding Individual Arbitration
Except as otherwise provided in these Terms, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that is not resolved through informal negotiation shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall be seated in the Commonwealth of Kentucky, United States, and shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
7.3 Class Action Waiver
To the fullest extent permitted by applicable law, you and HVAC Distributing, LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
7.4 Jurisdictional Carve-Out
Certain U.S. states and Canadian jurisdictions (including, without limitation, the Province of Quebec) restrict or prohibit pre-dispute arbitration agreements, class action waivers, or the waiver of certain consumer rights. Nothing in this Section is intended to waive any right or remedy that cannot lawfully be waived, and the arbitration and class action waiver provisions above shall apply only to the maximum extent permitted by the law applicable to you. If the class action waiver is held unenforceable as to any claim, that claim (and only that claim) shall be severed and adjudicated in a court of competent jurisdiction as provided in the Jurisdiction provision above.
8. Indemnification
You agree to indemnify, defend, and hold harmless HVAC Distributing, LLC, its parent, subsidiaries, affiliates, and their respective officers, directors, employees, agents, licensors, suppliers, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (i) your access to or use of the Site; (ii) your violation of these Terms or any applicable law or regulation; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any content or information you submit through the Site. HVAC Distributing, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claim.
9. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms shall remain in full force and effect. The invalidity or unenforceability of any provision in a particular jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.
10. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and HVAC Distributing, LLC concerning your use of the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and HVAC Distributing, LLC with respect to the Site.
11. Termination & Suspension
We reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate your access to all or any part of the Site at any time, for any reason or no reason, including if we believe you have violated these Terms or engaged in any prohibited conduct. Upon any termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, the provisions concerning Intellectual Property Rights, Disclaimer of Warranties & Limitation of Liability, Indemnification, Dispute Resolution & Governing Law, Severability, and Entire Agreement.

12.1 No Waiver
No failure or delay by HVAC Distributing, LLC in exercising any right, power, or remedy under these Terms shall operate as a waiver of that or any other right, power, or remedy, nor shall any single or partial exercise of any right preclude any further exercise thereof. Any waiver must be in writing and signed by an authorized representative of HVAC Distributing, LLC to be effective.
12.2 Assignment
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without our prior written consent, and any attempted assignment in violation of this provision shall be null and void. HVAC Distributing, LLC may freely assign or transfer these Terms, in whole or in part, without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
12.3 Force Majeure
HVAC Distributing, LLC shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations that is caused by events beyond its reasonable control, including, without limitation, acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, governmental action, labor disputes, power or internet failures, or supplier or carrier delays.

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by HVAC Distributing, LLC.
